These Terms and Conditions (“Terms”) govern your access to and use of EditMax (www.editmax.app), including the Video Editor, Auto Captions, Script Writer, AI Voiceover, and related tools (the “Service”), operated by EditMax (“we,” “us,” “our”), based in India. By accessing or using the Service, you agree to be bound by these Terms, which constitute a legally binding contract under the Indian Contract Act, 1872.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and legally competent to contract under the Indian Contract Act, 1872, to use the Service.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

3. The Service

EditMax provides browser-based AI tools to generate captions, voiceovers, and scripts, and to edit video, audio, and related content. These features rely on server-side and third-party AI processing. Features, pricing, and availability may change at any time, with reasonable notice for material changes.

4. Subscriptions, Credits, and Payment

  • Our order process is conducted by our online reseller, Dodo Payments. Dodo Payments is the merchant of record for all our orders and an authorized reseller of EditMax plans. It processes your payment, provides customer service for payment and billing questions, handles returns and refunds that we approve, and issues your invoices and receipts. Your purchase is also subject to the Dodo Payments Buyer Terms.
  • Paid plans are billed on a subscription or credit basis as described at checkout.
  • You authorize Dodo Payments, as our merchant of record, to charge your chosen payment method for applicable fees, in the currency shown at checkout.
  • Prices may change with prior notice; changes apply to future billing cycles.
  • Total price, including all charges and taxes, will be clearly displayed before you complete a purchase, as required under the Consumer Protection (E-Commerce) Rules, 2020.
  • We do not charge cancellation fees to you unless an equivalent charge would be borne by us.
  • Refunds are governed by our separate Refund Policy, which reflects your statutory rights under Indian consumer law and is not overridden by anything in these Terms.
  • Applicable taxes (such as GST, VAT or sales tax) are calculated and collected by Dodo Payments according to where you are, and are included in the price shown at checkout.

Referral program:

  • When someone signs up through your referral link, or enters your referral code before their first payment, and then pays for their first month of any plan, your workspace receives 100 bonus credits. Signing up alone does not earn a reward.
  • You can receive at most 20 referral rewards in a calendar month. Referrals beyond that are recorded but earn no credits.
  • A person can be referred only once, and only before their first payment. You cannot refer yourself, or someone who referred you.
  • If the referred person’s first payment is refunded or charged back, the reward is taken back in proportion to the amount returned, from the credits remaining in your balance.
  • Referral credits have no cash value and cannot be transferred, sold, or exchanged. They can be used only while your workspace has an active plan. They are used after your plan’s monthly credits and do not expire at the end of the month.
  • Referring yourself through another account, or using fake or automated accounts, is not allowed. We may withhold or remove referral credits obtained this way and may suspend the accounts involved.
  • We may change or end the referral program at any time. Rewards already earned are not affected, except as described above.

5. User Content

Ownership: You retain ownership of content you upload (“User Content”). You grant us a limited, worldwide, non-exclusive license to host, process, and use your User Content solely to operate and provide the Service to you.

Your responsibility: You represent that you own or have the necessary rights to any content you upload, and that it does not infringe third-party rights or violate applicable law, including the Copyright Act, 1957.

Output content: Subject to your compliance with these Terms and any third-party rights in source material you provide, you own the outputs generated using your inputs, and may use them for personal or commercial purposes.

6. Prohibited Uses

You agree not to use the Service to:

  • Upload or generate unlawful, defamatory, obscene, or infringing content, or content prohibited under the IT Act, 2000 and rules thereunder (including the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, to the extent applicable)
  • Impersonate any person or misrepresent AI-generated voice/content as being from a real person without consent, or otherwise use the Service to deceive or defraud others
  • Violate any applicable Indian law or third-party rights (including copyright, trademark, publicity, and privacy rights)
  • Attempt to reverse-engineer, scrape, or interfere with the Service’s operation or security
  • Upload malicious code or content that harms our systems or other users

We reserve the right to suspend or terminate accounts that violate these Terms, and to take down content upon receiving actual knowledge of unlawfulness or a valid legal order, consistent with our intermediary obligations under the IT Act, 2000.

7. Intellectual Property

The Service, including its software, design, and branding, is owned by EditMax and protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable IP laws. These Terms do not grant you rights to our trademarks, logos, or underlying technology beyond what’s needed to use the Service as intended.

8. Third-Party Services

The Service may rely on third-party providers (e.g., our payment provider and merchant of record, Dodo Payments; AI/API providers; hosting). We are not responsible for the acts or omissions of third parties, though we take reasonable steps to work with reputable providers.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law. We do not guarantee that AI-generated outputs (captions, scripts, voiceovers, edits) will be accurate, error-free, or suitable for your specific purpose. You are responsible for reviewing outputs before use. Nothing in this section limits your statutory rights under the Consumer Protection Act, 2019, including the right to a functioning service as advertised (see our Refund Policy).

10. Limitation of Liability

To the maximum extent permitted by Indian law, EditMax and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of data, revenue, or profits, arising from your use of the Service. Our total aggregate liability for any claim will not exceed the amount you paid us in the 3 months preceding the claim. This limitation does not exclude liability that cannot be excluded under Indian law, including liability arising from deficient service under the Consumer Protection Act, 2019.

11. Indemnification

You agree to indemnify and hold EditMax harmless from claims, damages, and expenses arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with reasonable notice where practicable. You may stop using the Service and delete your account at any time.

13. Changes to the Service and Terms

We may modify the Service or these Terms at any time. Material changes to the Terms will be notified via the Service or email, with reasonable advance notice. Continued use after changes take effect constitutes acceptance.

14. Dispute Resolution and Governing Law

These Terms are governed by the laws of India.
